Please read these Terms of Use ("Terms") carefully before accessing or using the website at novexaskills.com or any services provided by Novexa Skills Pvt. Ltd. ("Novexa Skills", "we", "us", or "our"). By accessing our website, registering for a course, or using any of our services, you agree to be legally bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("User", "you") and Novexa Skills Pvt. Ltd. Your use of our website, platform, or services — including enrolling in any course, attending any training session, or downloading any material — constitutes your unconditional acceptance of these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Eligibility

Our services are available to individuals who:

• Are at least 16 years of age (or have parental/guardian consent if under 18).
• Have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872, or the laws of their jurisdiction.
• Are not barred from receiving services under applicable law.

Corporate clients must ensure that the individual accepting these Terms on behalf of the organisation has authority to bind the organisation.

3. Account Registration

To access certain services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your login credentials (username and password) confidential and not share them with any third party.
• Notify us immediately at hello@novexaskills.com if you suspect unauthorised use of your account.
• Accept responsibility for all activities occurring under your account.

We reserve the right to suspend or terminate accounts that contain false information or that we reasonably believe have been compromised.

4. Course Enrolment & Access

4.1 Enrolment

Upon successful payment and confirmation, you will be granted access to the enrolled course for the duration specified at the time of purchase (typically 6 months for instructor-led courses, 12 months for self-paced). This access is personal, non-transferable, and non-sublicensable.

4.2 Course Content

Course materials, video lectures, lab guides, practice tests, and assessments are provided for your personal educational use only. You may not copy, reproduce, distribute, or create derivative works from course content without our prior written consent.

4.3 Lab Environments

Access to cloud lab sandboxes is provided with usage limits as specified per course. Labs must be used strictly for educational purposes related to the enrolled course. Misuse of lab resources — including cryptocurrency mining, hosting unauthorised services, or launching attacks — will result in immediate termination of access without refund.

4.4 Attendance & Participation

For instructor-led courses, a minimum of 80% attendance is required to be eligible for the Exam Pass Guarantee and to receive a Certificate of Completion. Attendance records are tracked through our learning management system.

5. Fees & Payment

• All course fees are listed in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.
• Payment is due at the time of enrolment unless you have arranged an instalment plan or purchase order (for corporate clients).
• We accept payment via UPI, net banking, credit/debit card, and EMI through our authorised payment gateways.
• Prices are subject to change. The price applicable to your enrolment is the price confirmed at the time of purchase.
• For corporate clients, payment terms are as specified in the signed Statement of Work or Purchase Order.

6. Intellectual Property

All content on our website and platform — including but not limited to course materials, video lectures, lab guides, software, graphics, logos, text, and course assessments — is the intellectual property of Novexa Skills Pvt. Ltd. or its licensors and is protected under applicable Indian and international copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use course content solely for your personal educational purposes during your enrolment period. You must not:

• Record, screen-capture, download (except where explicitly permitted), or redistribute course videos or materials.
• Share your account credentials or course access links with others.
• Use our name, logo, or trademarks without our prior written consent.
• Reverse-engineer or extract source code from our platform or lab environments.

Violations of our intellectual property rights may result in legal action.

7. Acceptable Use Policy

You agree not to use our website, platform, or services to:

• Violate any applicable local, state, national, or international law or regulation.
• Impersonate any person, entity, or instructor, or misrepresent your affiliation with any person or entity.
• Transmit or distribute viruses, malware, spam, or any other harmful or disruptive code.
• Attempt to gain unauthorised access to any part of our platform, other user accounts, or connected systems.
• Use automated scripts, bots, or scrapers to access or collect data from our website or platform.
• Post or share offensive, defamatory, discriminatory, or otherwise harmful content in class forums, chat rooms, or reviews.
• Engage in commercial activities (selling, advertising, or soliciting) without our written authorisation.
• Share exam question dumps, braindumps, or other materials that violate certification body policies.

8. Certification & Exam Pass Guarantee

8.1 Certification Exams

Our training prepares you to sit for third-party certification exams (AWS, Microsoft, Google Cloud, CompTIA, etc.). Novexa Skills does not administer these exams. Exam fees are separate from course fees and are payable directly to the certification body unless explicitly included in your course package.

8.2 Exam Pass Guarantee Conditions

Our Exam Pass Guarantee entitles eligible students to a free course retake if they fail their first certification exam attempt. Eligibility requires:

• Completion of at least 80% of all course modules and video content.
• Attendance at a minimum of 80% of all live instructor sessions.
• Completion of all module assessments with a passing score of 70% or above.
• Completion of at least two full-length practice exams within 30 days prior to the real exam.
• Sitting the certification exam within 90 days of course completion.
• Submitting your official exam score report to support@novexaskills.com within 7 days of the exam date.

The Guarantee applies to one retake of the same course only. It does not cover exam registration fees for the re-sit.

9. Disclaimers

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that:

• Our platform will be error-free, uninterrupted, or free from security vulnerabilities at all times.
• Completing our courses or obtaining a certification will result in employment, promotion, or salary increase.
• Certification exam pass rates mentioned on our website will apply to every individual student.
• The content of third-party certification exams will exactly mirror our course curriculum.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Novexa Skills Pvt. Ltd., its directors, employees, instructors, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages arising from your use of (or inability to use) our services.
• Any loss of revenue, profit, data, goodwill, or business opportunity.
• Any failure of third-party certification exams, platforms, or services.
• Any unauthorised access to or alteration of your data or transmissions.

In no event shall our total cumulative liability to you for all claims arising out of or related to these Terms exceed the amount paid by you to Novexa Skills in the 12 months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Novexa Skills Pvt. Ltd. and its officers, directors, employees, instructors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any content you submit or transmit through our platform.

12. Termination

We reserve the right to suspend or terminate your access to our services, with or without notice, for any of the following reasons:

• Violation of any provision of these Terms.
• Non-payment of fees.
• Fraudulent, abusive, or illegal conduct.
• Sharing of account credentials or course materials with unauthorised persons.
• Repeated or serious breach of our Acceptable Use Policy.

Upon termination, your right to access course materials ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, indemnification, limitation of liability, and dispute resolution) shall survive.

13. Dispute Resolution

We encourage you to contact us at hello@novexaskills.com or call +91 9758996904 to resolve any disputes informally before pursuing formal proceedings. We commit to responding to all complaints within 5 business days.

If informal resolution is not possible, any dispute, controversy, or claim arising out of or relating to these Terms or the services shall be resolved through binding arbitration conducted in Bangalore, Karnataka, under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding on both parties.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Subject to the arbitration clause above, you agree to submit to the exclusive jurisdiction of the courts located in Bangalore, Karnataka, India for any matter not subject to arbitration.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by email. Changes take effect 14 days after posting. Your continued use of our services after that date constitutes acceptance of the revised Terms. We recommend reviewing this page periodically.
